BEDMINSTER, NJ — Verizon Wireless today announced it has signed an agreement with RCC, Minnesota, a wholly-owned subsidiary of Rural Cellular Corporation (NASDAQ: RCCC) to acquire RCC Minnesota's Personal Communications Service (PCS) licenses covering the Southern Oregon Basic Trading Areas (BTAs) of Medford-Grants Pass, Roseburg, Bend and Klamath Falls. Financial terms were not disclosed.

The company said it would use the licenses to fill in its national wireless footprint to the north of its current California and Nevada network and to the south and west of its operations in Salem and Eugene, Oregon. The Medford-Grants Pass BTA includes the Oregon counties of Jackson and Josephine. The Roseburg BTA covers Douglas county. The Bend BTA includes the counties of Crook, Deschutes and Jefferson. The Klamath Falls BTA includes Modoc, Klamath and Lake Counties.

The total population (POPS) served by the licenses is about 576,000. Major north-south highways in the territory include Interstate 5. The new license areas, when built out with a wireless network, will become part of the Verizon Wireless West Area, headquartered in Irvine, Calif. The company expects to close the transaction in the third quarter of 2001 and launch service by April 2002. Rural Cellular Corporation, based in Alexandria, Minnesota, provides wireless communication services to Midwest, Northeast, South and Northwest markets located in 14 states. Daniels & Associates, a Denver-based media and telecommunications mergers and acquisitions specialist, represented Rural Cellular in the sale of its PCS licenses.
